§ 1 General Provisions
vero projects provides a service to the client. The nature, scope, and conditions of the service are defined in the present offer. The services are performed in accordance with the principles of proper professional practice and are considered delivered when the results defined in the offer are provided.
§ 2 Scope
These general terms and conditions apply to all services provided by vero projects. If service contracts or offers from vero projects contain written provisions that deviate from these general terms and conditions, the individually offered or agreed contractual rules take precedence over these general terms and conditions.
§ 3 Service Provision and Cooperation
vero projects ensures the quality of the service in accordance with internationally recognized project management standards (PMI®, PRINCE 2™, or IPMA).
To enable the desired professional work, the client undertakes to support vero projects to the best of their ability in the performance of the service and to create all necessary conditions. The client will actively participate in the service provision personally or through their employees:
- All information relevant to the service provision will be provided to vero projects by the client early and in writing, even without special request.
- Any interim results and interim reports delivered by vero projects will be promptly reviewed by the client to ensure the information contained therein about the client or their company is accurate. Necessary corrections and change requests will be promptly communicated to vero projects in writing.
- The employees of the client or their company required for the project will be available to the project as described in the offer.
- When services are provided at the business premises of the client, the client ensures that the organizational and technical conditions allow for work that promotes the rapid progress of the project.
- Upon completion of the assignment, the client undertakes to evaluate the performance of vero projects using the appropriate feedback form provided by vero projects.
vero projects is entitled to have the assignment carried out (in whole or in part) by commercial/freelance cooperation partners or employed staff.
§ 4 Service Obstacles, Delay, Impossibility
vero projects is only in default with the services if vero projects is responsible for the delay. vero projects is not responsible, for example, for an unforeseeable failure of a cooperation partner or employee intended for the project, force majeure, and other events that were not foreseeable at the time of commissioning and make the agreed service temporarily impossible or unreasonably difficult. If such obstacles make the service of vero projects permanently impossible, vero projects is released from its obligations.
If the service obstacles are of a temporary nature, vero projects is entitled to postpone the fulfillment of its obligations for the duration of the hindrance and a reasonable start-up time.
§ 5 Duration, Termination
The offer takes effect as a contract for the agreed duration upon signing the assignment. The right to extraordinary termination for good cause remains unaffected for both parties. Such termination must be in writing. The expenses incurred by vero projects up to the receipt of an early termination must be settled and paid.
§ 6 Confidentiality
vero projects is obliged to treat all internal facts and circumstances regarding the client company, which become known to vero projects in connection with the activity from this assignment, particularly information about business and trade secrets, confidentially. The obligation to maintain confidentiality continues beyond the termination of this assignment.
§ 7 Liability
In any case, vero projects is liable for intent and gross negligence, regardless of the legal basis. Further liability is excluded to the extent permitted by law. The liability of vero projects is otherwise limited to the amount of the received remuneration to the extent permitted by law.
If and to the extent that any errors are due to the client not fulfilling their cooperation obligations, not fully or not in a timely manner, the liability of vero projects is excluded. The client will provide proof of the complete and timely fulfillment of all cooperation obligations in the event of a dispute.
§ 8 Non-Solicitation
The client is prohibited from soliciting or hiring freelance or permanent employees and subcontractors of vero projects for up to two years after the end of the present assignment. In the event of a violation, vero projects is entitled to claim the lost profit. vero projects undertakes not to solicit employees of the client. In the event of a violation, the client is entitled to compensation for the damage caused.
§ 9 Usage Rights
vero projects has the right to use the documents created under this assignment for its own business purposes, as long as vero projects does not violate the confidentiality obligation.
